Holders of auction-rate securities, restricted stock, warrants, convertibles and bankruptcy claims looking for liquidity or diversification can now
present their securities to a network of qualified institutional
and accredited investors in one central location.
The Restricted Securities Trading Network (RSTN) already has
more than 1,500 members with more than $250 billion in assets available
to invest. Members include hedge funds, private equity funds
and individuals, but they all share one characteristic - they
are interested in buying illiquid securities.
Sellers can list the illiquid securities they want to sell
at no cost and with no obligation. Details of the position are
shown discreetly to qualified buyers. A privately negotiated
sale can take place with no minimum share price and no specific
trading characteristics have to be met. No fee or commission
is charged unless a sale is completed.
Holders of illiquid securities
can offer the securities for sale through the RSTN. Sellers
using the RSTN include:
- Institutional investors who hold restricted stock, convertible securities or warrants
- Individuals or companies with auction-rate securities
- High net worth individuals with founder stock or other illiquid assets
- Executives who receive restricted securities in connection
with a sale or merger, or as part of a compensation package
- Money managers with clients that own restricted securities or auction-rate securities
- Creditors of bankrupt corporations
To offer securities for sale, contact Restricted Stock Partners
at (212) 668-5920.
Advantages of Using the RSTN include:
- We can monetize your illiquid assets, providing the liquidity
and diversification you need.
- All of our buyers have "accredited investor"
status.
- You will have access to a large group of investors seeking
to buy illiquid securities.
- Restricted Stock Partners (RSP) provides all documentation needed to complete a transaction.
- RSP provides the services needed to see the sale through to completion.
- There is no cost unless the sale is completed successfully.
Selling illiquid securities in a private transaction also
has several advantages:
- All Securities Are Welcome. Other strategies designed
to monetize restricted stock holdings require
liquid, marginable securities. No minimum share price or trading
characteristics are required to complete a private sale.
- Liquidity When You Need It. If you sell your illiquid securities through the RSTN,
the net proceeds will be sent to the account of
your choice immediately upon closing.
- Diversification As You Want It. Reduce your risk
by diversifying out of a concentrated position. Use the proceeds
to diversify through public markets, capitalize a private
enterprise, or pay down personal or corporate debt.
- Few Restrictions. In a private sale or restricted stock, the seller is
not subject to Rule 144 trading restrictions, such as the
six-month holding period, volume limits, public disclosure requirements
or filing requirements.
- Competitive Bidding. Due to the large number of active RSTN members, we are often able to generate
highly competitive bids that meet sellers' expectations.
