Legal or contractual restrictions typically prevent owners of restricted securities from selling their securities in the public market. The lack of a secondary market also may prevent holders from selling their illiquid assets.

However, in many cases, illiquid securities can be sold in a privately negotiated transaction. But how can someone who wants to sell illiquid securities identify potential buyers? And how can potential buyers know when restricted securities are available to purchase? The Restricted Securities Trading Network (RSTN) creates an efficient way to buy and sell restricted securities and other illiquid assets.

For every transaction, Restricted Stock Partners will:

• Negotiate terms (i.e., pricing, settlement procedure)
• Provide form documentation (i.e., purchase agreement, escrow agreement and other required documents)
• Process the transaction (i.e., work with issuers, counsel, other brokers and agents)
• Provide necessary administrative services

Buyers and Sellers

Buyers of illiquid assets, including accredited investors and institutional investors, can become members of the RSTN at no cost and with no obligation by filling out an RSTN profile form.

Sellers of illiquid assets, who typically are seeking liquidity or an opportunity to diversify, can be matched with the most appropriate buyers from among the more than 1,500 members of the RSTN. RSTN members have in excess of $250 billion available for investment.

Holders of restricted securities can offer the securities for sale through the RSTN. Sellers using the RSTN may include:

• Institutional investors who hold restricted stock, convertible securities or warrants
• Individuals or companies with auction-rate securities
• High net worth individuals with founder stock or other illiquid assets
• Executives who receive restricted securities in connection with a sale or merger, or as part of a
   compensation package
• Money managers with clients that own restricted securities
• Creditors of bankrupt corporations
